Legal Counsel

Job Overview: Ace Legal Counsel is responsible for providing legal counsel and representation to management and project teams, ensuring compliance with legal and regulatory requirements, supporting the Company’s strategic business plan, and identifying and avoiding potential legal issues or concerns. The Legal Counsel’s primary focus will be providing counsel to the lending entity in regard to commercial real estate lending transactions, including all stages of origination, servicing and collections.

Key Responsibilities:

• Provide counsel and representation to Ace Deals commercial Firm.
• Oversee and provide counsel for prosecuting commercial contracts and transactions.
• Oversee and monitor out of state counsel in commercial real estate transactions.
• Provide counsel for contested litigation matters including; oral arguments on motions and appeals, and discovery.
• Provide counsel to management and project teams on matters of law and policy, including regulatory, finance, marketing, advertising, intellectual property, and contract drafting and interpretation
• Research, review, interpret, draft and negotiate legal documents such as credit and finance documents, confidentiality agreements, and commercial contracts, third party vendor contracts), etc
• Monitor and advise management and project teams of legal developments and trends, including changes in the law, regulatory developments, and judicial decisions
• Participate in the leadership and strategy direction of major projects
• Manage and supervise outside counsel within budgetary constraints; review and approve outside counsel invoices
• Provide comprehensive support to in-house clients in sales, marketing, customer operations, accounting, human resources, information technology, and risk
• Manage all aspects of the legal function with due skill, care and diligence including effective controls, risk management and mitigation and delegation of activity to appropriate skilled and competent persons

Qualifications:

• J.D. degree from an ABA accredited law school
• Active license to practice law in the State of Texas, must be in good standing
• 3+ years of legal experience providing counsel to lien holders in the commercial real estate industry.
• Superior verbal, written and interpersonal communication skills
• Must be a quick thinker, highly analytical, articulate, and motivated
Self-starter, results and success oriented, with the ability to be responsive and follow through on programs and plans

Preferred Experience:

•  J.D. degree from an ABA accredited law school
•  Active license to practice law in the State of Texas, must be in good standing
• 
 3+ years of legal experience providing counsel to lien holders in the commercial real estate industry.

Compensation: Salary range will be commensurate with experience and qualifications. Independent contractor status (1099)
